These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Gupta Enterprises, LLC, a California limited liability company that operates the DPF product and service ("Company," "we," "us," or "our"). "DPF" is a product of Gupta Enterprises, LLC. By accessing, using, or registering for the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

When you create an account, you are required to affirmatively accept these Terms and our Privacy Policy. We record the date, time, and version of the documents you accepted as part of your account record. Your acceptance constitutes your electronic signature and agreement to be bound by the version of these Terms then in effect.

DPF is an AI-assisted data platform that helps users ingest, transform, store, and query data. You provide a sample file and a plain-language prompt describing your data and desired result, and the Service uses artificial intelligence to infer a schema and generate the parsing and transformation code, which is then executed to load your data into open-format tables that you can query. The Service uses artificial intelligence and machine learning models to infer data schemas and to generate parsing and transformation code from the samples and prompts you provide. AI-generated output is probabilistic and may be inaccurate, incomplete, or unsuitable for your particular purpose.

12. Payment, Credits, and Billing

12.1 Pricing and Credits

The Service uses a credit-based, usage-metered billing model. Subscription tiers include a periodic allotment of credits, and operations such as AI inference, job execution, data storage, and queries consume credits at the rates published on our website. Current pricing and credit rates are displayed on our website, and we reserve the right to change them with 30 days' notice.

Payments are processed by our third-party payment processor (Stripe). By providing payment information, you agree to the payment processor's terms and authorize us and the processor to charge your payment method. We do not store full payment card numbers; card data is handled by the processor. All fees are exclusive of applicable taxes.

12.3 Billing, Top-Off, and Non-Refundability

Subscription fees are payable in advance and recur on your billing anchor date. If you enable automatic top-off, you authorize us to charge your payment method to replenish credits when your balance is low. Except where required by law, fees and consumed credits are non-refundable. If a payment fails, we may suspend or downgrade your access until payment is received.

You may cancel your account at any time through your account settings. Upon cancellation, you lose access to the Service, though we retain your data according to our retention policy.

14. Open-Source Software and Cloud Infrastructure

14.1 Open-Source Components

The Service is built using open-source software, including but not limited to DuckDB (which powers our built-in SQL query engine) and Apache Iceberg (the open table format used to store your data). These components are licensed under their respective open-source licenses (for example, DuckDB under the MIT License and Apache Iceberg under the Apache License 2.0). Such components are provided by their authors "as is," without warranty of any kind, and the respective authors and copyright holders are not liable for any claim, damages, or other liability arising from their use. Nothing in these Terms grants you any rights in those components beyond those granted by their applicable open-source licenses, and your use of any open-source component made separately available to you is governed by that component's license.

14.2 Cloud Infrastructure (AWS)

The Service is hosted on and depends upon cloud infrastructure provided by Amazon Web Services ("AWS"), including compute, storage, database, secrets management, and AI model (Amazon Bedrock) services. Your use of the Service is therefore also subject to the availability, performance, and security of AWS. We are not responsible or liable for any unavailability, interruption, data loss, performance degradation, security incident, or other failure caused by or attributable to AWS or any other underlying infrastructure or third-party provider. We do not control, and make no warranties regarding, the operation of AWS services, and we disclaim all liability arising from acts or omissions of AWS to the maximum extent permitted by law.

15. Third-Party Integrations

The Service may integrate with third-party services and APIs (for example, payment processing, email delivery, and compute engines you choose to connect such as Spark, Trino, Databricks, or Redshift). Your use of third-party services is subject to their terms of service and privacy policies. We are not responsible for third-party service failures or violations of their terms.

We may modify these Terms at any time by posting the revised version with an updated "Last Updated" date. Your continued use of the Service constitutes acceptance of modified Terms. Material changes will be communicated to you via email.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of California, United States, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

18.2 Arbitration

Any dispute not resolved informally shall be settled by binding arbitration in accordance with the American Arbitration Association (AAA) rules, rather than in court (except for injunctive relief).

If any provision of these Terms is found unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in effect.

20. Entire Agreement

These Terms, along with our Privacy Policy and any Data Processing Addendum, constitute the entire agreement regarding the Service. Previous agreements, understandings, or communications are superseded.

21. Data Processing Addendum (DPA)

If you process personal data through the Service, a Data Processing Addendum is available upon request. The DPA applies to the processing of personal data and supplements these Terms.
